1. Agreement

These Terms and Conditions ("Terms," "Agreement") constitute a legally binding agreement between you ("User," "you," "your") and InstantFeed ("Company," "we," "us," "our") regarding your use of our mobile applications (MYFEED for customers and MYSHOP for merchants), web services, and all related services (collectively, the "Services").

By downloading, installing, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. User Eligibility & Accounts

2.1 Age Requirements

  • MYFEED (Customer App): You must be at least 13 years old
  • MYSHOP (Merchant App): You must be at least 18 years old and authorized to operate a business

2.2 Account Registration

  • You are responsible for providing accurate, current, and complete information
  • You must not impersonate or misrepresent your identity
  • You are solely responsible for maintaining account confidentiality
  • You are responsible for all activities under your account

2.3 Account Termination

We may suspend or terminate your account if you:

  • Violate these Terms
  • Engage in fraudulent or illegal activity
  • Abuse our Services or other users
  • Fail to comply with payment obligations
  • Provide false or misleading information

3. Use of Services

3.1 MYFEED (Customer Application)

Permitted Uses:

  • Browse and search for stores and products
  • Place orders for pickup or delivery
  • Communicate with store owners
  • View order status and history
  • Manage your profile and preferences

Prohibited Uses:

  • Automated access (bots, scrapers) without permission
  • Reselling or redistribution of content
  • Attempting to gain unauthorized access
  • Interfering with system operations
  • Harassment, hate speech, or threatening behavior

3.2 MYSHOP (Merchant Application)

Permitted Uses:

  • Create and manage your store profile
  • Upload and manage products/menu items
  • Receive and manage customer orders
  • Communicate with customers
  • View sales analytics and reporting

Prohibited Uses:

  • Selling prohibited items or services
  • Deceptive or misleading product descriptions
  • Violating intellectual property rights
  • Collecting customer data beyond order fulfillment
  • Operating multiple accounts without authorization

4. Intellectual Property Rights

4.1 Company IP

  • All content, designs, graphics, logos are owned by InstantFeed
  • Protected by copyright, trademark, and other intellectual property laws
  • You may not reproduce or distribute without permission

4.2 User Content

  • You retain ownership of your submitted content
  • You grant us a worldwide, royalty-free license to use it
  • You are responsible for ensuring content doesn't infringe on third-party rights

5. Product & Service Information

5.1 MYFEED Users (Customers)

  • We strive for accurate product descriptions and prices
  • Store hours and policies are provided by merchants
  • Prices are subject to change; your order is confirmed at checkout
  • You must provide accurate delivery addresses
  • Report discrepancies within 24 hours

5.2 MYSHOP Users (Merchants)

  • You are responsible for product accuracy
  • You must comply with all applicable regulations
  • You maintain responsibility for product quality and safety
  • Clearly disclose allergens and dietary restrictions
  • Manage reputation ethically; no fake reviews

6. Payment Terms

6.1 Payment Processing

  • Payments processed through third-party payment gateways
  • You authorize us to charge the payment method provided
  • Subject to third-party terms and conditions

6.2 Pricing & Fees

For Customers:

  • Prices displayed at checkout are binding
  • Delivery fees and taxes calculated at checkout
  • Payment due in full before order confirmation

For Merchants:

  • Commission and service fees clearly disclosed
  • Fees deducted from order proceeds
  • Fee changes announced with 30 days' notice

6.3 Refunds & Disputes

  • Refund policies determined by individual merchants
  • Contact us within 30 days for payment disputes
  • Chargebacks may result in account suspension

7. Warranties & Disclaimers

SERVICES PROVIDED "AS-IS":

  • We provide Services on an "as-is" and "as-available" basis
  • We make no warranty that Services will be uninterrupted or error-free
  • We disclaim all warranties, express or implied

NO WARRANTY OF PRODUCTS:

  • Merchants are responsible for product quality and safety
  • We are not liable for product defects or harm caused by products

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR LIABILITY FOR ANY CLAIM, LOSS, OR DAMAGE ARISING FROM YOUR USE OF THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

IN NO EVENT SHALL WE BE LIABLE FOR:

  • Lost profits or revenue
  • Loss of data or business interruption
  • Indirect, incidental, or consequential damages
  • Damages from product quality, delivery, or merchant conduct

9. Indemnification

You agree to indemnify, defend, and hold harmless InstantFeed from any claims, damages, losses, or expenses arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any law or third-party rights
  • Content you provide or post
  • Your conduct as a user

10. Data Privacy

  • We do not sell, share, or leak your personal data
  • Your data is used only for service delivery and improvements

11. Communications & Notifications

12. SMS/Mobile Messaging Terms

Our SMS program is used solely to send login verification codes and related authentication messages when you request access to your account.

Message frequency varies.

12.3 Help & Stop

Reply STOP to cancel, Reply HELP for help.

12.4 Carrier Disclaimer

Carriers are not liable for delayed or undelivered messages.

13.2 Governing Law

  • These Terms are governed by and construed according to the laws of the United States
  • Any legal action shall be brought exclusively in the courts of the United States

13.3 Class Action Waiver

YOU AND INSTANTFEED AGREE THAT ANY PROCEEDING SHALL BE BROUGHT IN YOUR INDIVIDUAL CAPACITY, NOT AS A CLASS ACTION.

14. Conduct & Community Standards

14.1 Respectful Conduct

  • Treat all users with respect
  • No harassment, bullying, discrimination, or hate speech
  • No threats or violent language

14.2 Honest Dealings

  • Provide truthful information
  • No fraud, deception, or manipulation
  • Honor committed orders and payment obligations

14.3 Merchant Reputation

  • Merchants: Do not manipulate ratings or reviews
  • Customers: Do not post fraudulent reviews
  • We will remove fake, false, or defamatory reviews
  • Repeated violations may result in account termination

15. Modification & Termination

15.1 Service Modifications

  • We may modify, suspend, or discontinue Services
  • 30 days' notice for material changes

15.3 Your Right to Cancel

  • Cancel anytime by requesting deletion in account settings
  • Outstanding payment obligations remain your responsibility
